In the evening of November 9th, Professor Deng Feng, from Peking University Law School, was invited to give a lecture about Chinese “Valuation Adjustment Mechanism” in SHUFE. Professor Deng is a well-known legal expert in Corporation Law and Economic Law. His lecture was entitled as “Valuation Adjustment Mechanism (VAE) with Chinese Characters”, which was hosted by Professor Ge Weijun, Associate Dean of Law School. Many students participated the lecture in the Administration Building.
Prof. Deng’s lecture mainly involved three aspects, VAE in Chinese version, Chinese adjudication of VAE and Chinese law choices about VAE. At the beginning, Prof. Deng started his speech by reflecting on the concept of VAE which have been widely accepted and tracing the relevant law sources. Simultaneously, he introduced the concept of “Earnouts” to make a comparison and to specify the Chinese characters of VAE. After that, Prof. Deng analyzed some legal practical cases with initial explanation from local courts. Meanwhile, he also raised some legal problems that VAE are facing which are also associated with current legal systems and judicial explanations. At last, Prof. Deng made some analysis on the specific issues of Corporation Law by comparing with several American cases and then made his own resolve to the legal problems he put forward before.
At last, Professor Ge Weijun made some comments on it and added some other explanations from the perspective of British corporation law. In the heated discussion with Prof. Deng, the lecture came to the end with a round of applause from students and teachers from Law School.
